ARTICLE I NAME
Section 1. The name of the organization shall be the Illiana Artists Incorporated.
ARTICLE II PURPOSE
Section 1. Illiana Artists Incorporated, an organization of artists helping artists, is dedicated to expanding personal and community horizons through artistic growth, exhibition, and demonstration. Members also strive to promote art awareness and appreciation in the community and to share cultural experiences.
ARTICLE III SCOPE OF ACTIVITIES
Section 1. Activities of the Illiana Artists Incorporated shall be guided by the Mission Statement and include exhibits of artwork, educational programs, and other activities deemed appropriate, including those arising from a community need.
Section 2. The Annual Juried Exhibit shall be limited to work executed by persons living in an area, the exact boundaries of which are to be determined by the Show Committee.
Section 3. The Members Judged Exhibit shall be limited to work executed by members of the Illiana Artists Incorporated.
ARTICLE IV MEMBERSHIP
Section 1. Anyone may join who is interested in sharing our mission of Artists Helping Artists.
Section 2. Membership entitles you to the following:
A. Representation in the Art Registry.
B. Newsletters that shall be published determined on necessity.
C. Social events including meetings open to all members.
D. Opportunities to submit entries into exhibitions.
E. Entry and use of members business and expertise directory.
Section 3. Responsibilities of members shall include the following:
A. All members will be required to work on a committee.
Section 4. Dues shall be determined by the general membership and shall be payable on a yearly basis to the treasurer.
ARTICLE V OFFICERS
Section 1. Election of officers shall take place during the calendar year and shall consist of president, vice president, secretary, and treasurer. Officers will serve for a one-year term and may succeed themselves. The elected officers will also be considered the executive committee.
Section 2. Responsibility of officers.
A. The president shall conduct the business meetings and be the authorized representative in business matters pertaining to the Illiana Artists Incorporated. The president shall be responsible for all reports from all committee chairmen.
B. The vice-president shall conduct the business meetings in the absence of the president. In the absence of the president, the vice-president shall act as the Illiana Artists Incorporated representative in all business matters.
C. The secretary shall be required to take minutes of all business meetings and submit them to the vice-president. The secretary will report to membership and convey the minutes of previous meetings to be ratified by the membership. The secretary will be responsible for correspondence deemed necessary for the operation of the Illiana Artists Incorporated.
D. The treasurer shall handle all monies and must be bonded. Receipts for all expenditures must be submitted to the treasurer for payment. The treasurer shall send a yearly statement for membership dues.
ARTICLE VI COMMITTEES
Section 1. A chairperson and/or a co-chairperson shall govern all committees. Committees shall consist of the following:
A. Exhibit Committee
B. Registry Committee
C. Programs Committee
D. By-law Committee
E. Social Committee
F. Membership Committee
G. Publicity Committee
H. Fund Raising Committee
ARTICLE VII BY-LAWS
Section 1. The by-laws of the Illiana Artists Incorporated can only be amended by a majority vote of the members present at a general meeting of the organization.
AMENDMENTS TO BY-LAWS
ARTICLE V OFFICERS
Section 1. C. The secretary shall be required to take minutes of all business meetings and submit them to the President.
ARTICLE VII COMMITTEES
Section 1. A chairperson and/or a co-chairperson shall govern all committees. Committees consist of the following:
A. Exhibits Committee
B. Website Committee
C. Program Committee
D. By-law Committee
E. Social Committee
F. Membership Committee
G. Publicity Committee
H. Fund Raising Committee
These amendments were adopted at the meeting on April 10, 2006.
AMENDMENTS TO BY-LAWS
“The Board of Directors will include a Second Vice President. The responsibilities of this officer are to Chair the Exhibits Committee”.
This amendment was adopted on October 13, 2004.
